8. Guidelines on Appointment as an agent

The role of the agent appointed as a closed firm’s agent (that is, the cessation agent / substitute agent) is to deal with all matters consequential to the cessation of a firm pursuant to the Law Society’s Practice Direction D7 and the Guidelines on Appointment as an Agent, including but not limited to:-

(a)
handling enquiries from former clients and third parties;
(b) contacting the former clients whom the closed firm failed to reach prior to its cessation in order to seek instructions on the appointment of a successor firm of solicitors;
(c) tracing the closed firm’s former clients for instructions on the unclaimed balances transferred from the closed firm’s clients accounts to the agent’s clients accounts; 
(d) obtaining and complying with the directions of the Council of the Law Society under Rule 8(2) of the Solicitors’ Accounts Rules on any unclaimed balances to be transferred; and 
(e) assisting with the preparation of reconciliation statements to the closed firm’s final accounts to the Law Society.

Establishment of Representative Office in the Mainland

 (a) To apply for a Certificate of Standing from the Law Society addressed to the Ministry of Justice of the People’s Republic of China for the purpose of establishing a representative office in the Mainland, please refer to the ‘Certificate of Standing’ section

 (b) Confirmation Notice to the Law Society that the representative office in the Mainland by a Hong Kong law firm has been established.

Establishment of Association in the Mainland

 (a) To apply for a Certificate of Standing from the Law Society for the purpose of establishing an association between a Hong Kong firm and a Mainland firm under CEPA, please refer to the ‘Certificate of Standing’ section.

 (b) Confirmation Notice to the Law Society that the association with a Mainland firm has commenced.

Establishment of Overseas Branch Office

 (a) To apply for a Certificate of Standing from the Law Society addressed to the appropriate authority overseas for the purpose of establishing an overseas branch by a Hong Kong law firm, please refer to the ‘Certificate of Standing’ section.

 (b) Confirmation Notice to the Law Society that the overseas branch office has been established.
